Terms & Conditions

These Terms & Conditions (these "Terms") form a legal agreement between you ("you" or "Customer") and Blackstar Cannabis Inc., doing business as Exclusives Cannabis ("Exclusives," "we," "us," or "our"). They govern your access to and use of our website at exclusivescannabis.ca, your purchase of products through our online ordering system, and your visit to our store in Ontario, Canada (collectively, the "Services").

Please read these Terms carefully. By accessing our website, creating an account, placing an order, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

In these Terms:

Age Requirement

You must be 19 or older to access our website, create an Account, place an Order, or purchase Cannabis Products. By using the Services, you represent and warrant that you are 19 or older. Valid government-issued photo identification is required at the time of pickup, regardless of age appearance. Orders will not be released without verification, and no refund will be issued if identification cannot be provided or appears invalid.

You are responsible for ensuring that minors do not access our website through any device, account, or network under your control.

Regulatory Compliance

Exclusives operates as a licensed cannabis retailer in the Province of Ontario under the Cannabis Licence Act, 2018 and is authorized by the AGCO. All sales are conducted in accordance with Applicable Law. [Optional: AGCO Retail Store Authorization #[AGCO LICENCE NUMBER].]

We reserve the right to refuse service, refuse an Order, or limit quantities sold to any person at any time, with or without reason, including where we believe a sale would contravene Applicable Law or AGCO standards.

Accounts

You may be required to create an Account to place an Order. You agree to provide accurate, current, and complete information when creating an Account, and to keep that information up to date. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Notify us immediately if you suspect unauthorized use of your Account. We may suspend or terminate an Account at our discretion, including for suspected fraud, misrepresentation, or violation of these Terms.

Online Ordering & In-Store Pickup

Orders placed through our website are for in-store pickup only at our store. We do not offer delivery. After you place an Order:

• You will receive an Order confirmation by email. This confirmation acknowledges receipt of your Order but does not constitute acceptance. An Order is only accepted once the products are made available for pickup
• A second notification will be sent when your Order is ready for pickup
• Orders must be picked up in person by the individual who placed the Order. Third-party pickups are not permitted
• You must present valid government-issued photo ID confirming you are 19 or older
• Payment is completed in store at the time of pickup unless otherwise indicated on our website

Order Hold Period

Orders not picked up within 48 hours of the "ready for pickup" notification may be cancelled and returned to inventory at our discretion. See our Refund & Return Policy below for details on refunds in this circumstance.

Product Availability, Pricing & Errors

All products are subject to availability. Product descriptions, images, THC/CBD content, and other information are provided by licensed producers and may contain inaccuracies or omissions. We do not warrant that product descriptions are accurate, complete, or current. Prices are listed in Canadian dollars and are subject to applicable taxes and any AGCO-mandated charges.

If a pricing or product error is discovered after you place an Order, we reserve the right to cancel the Order or contact you before fulfillment. We may correct any inaccuracies on our website at any time without prior notice.

Possession Limits

Under federal law, adults in Ontario may possess up to 30 grams of dried cannabis (or its equivalent in other forms) in public. We will not knowingly sell quantities that would cause a Customer to exceed this limit in a single transaction.

Responsible Use

Cannabis is intended for adult use only. Do not drive or operate machinery after consuming cannabis. Keep all Cannabis Products out of reach of children and pets. Cannabis may impair concentration, coordination, and judgment, and may have other health effects. Consult a healthcare professional if you have questions about cannabis use, particularly if you are pregnant, breastfeeding, or have a medical condition.

Prohibited Conduct

You agree not to:

• Provide false, misleading, or inaccurate information, including misrepresenting your age or identity
• Purchase Cannabis Products on behalf of a minor or any person prohibited from purchasing cannabis under Applicable Law
• Resell, redistribute, or otherwise transfer Cannabis Products purchased from us to any third party
• Use the Services for any unlawful, fraudulent, or unauthorized purpose
• Interfere with, disrupt, or attempt to gain unauthorized access to our website, our systems, or other users' accounts
• Use any automated means (including bots, scrapers, or crawlers) to access our website, except for publicly available search engine indexing
• Copy, modify, distribute, or create derivative works from any content on our website without our express written permission
• Engage in any conduct that could damage, disable, overburden, or impair our website

Promotions & Communications

From time to time we may offer promotions, contests, or special pricing. Each may be subject to additional terms that will be posted with the promotion. Promotions cannot be combined unless expressly stated, are non-transferable, and have no cash value. We reserve the right to modify or cancel any promotion at any time.

If you provide consent (for example, by subscribing to our mailing list), we may send you commercial electronic messages in accordance with Canada's Anti-Spam Legislation ("CASL"). You may withdraw your consent at any time by using the unsubscribe link in any message or by contacting us.

Intellectual Property

All content on our website — including text, graphics, logos, images, product descriptions, and the "Exclusives Cannabis" name and brand — is owned by us or licensed to us and is protected by Canadian and international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our website for personal, non-commercial purposes only. All other rights are reserved.

Third-Party Content & Links

Our website may include content from, or links to, third-party websites (for example, licensed producer websites or social media platforms). We do not control or endorse third-party content and are not responsible for it. Your use of third-party services is governed by their own terms.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by Applicable Law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Nothing in these Terms limits or excludes any warranty, condition, right, or remedy that cannot be limited or excluded under Applicable Law (including the Ontario Consumer Protection Act, 2002).

Limitation of Liability

Nothing in these Terms will limit or exclude any liability that cannot be limited or excluded under Applicable Law, including liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded under the Ontario Consumer Protection Act, 2002 or other Applicable Law.

Subject to the paragraph above and to the fullest extent permitted by Applicable Law, in no event will Exclusives, its directors, officers, employees, franchisors, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, goodwill, data, or other intangible losses — arising out of or in connection with your use of the Services or any Cannabis Product.

Our total aggregate liability for any claim arising out of or relating to a Cannabis Product or the Services will not exceed the greater of (a) the amount you paid for the product or Order giving rise to the claim, or (b) CAD $100.

Indemnification

You agree to indemnify, defend, and hold harmless Exclusives and its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of Applicable Law; (c) your misuse of any Cannabis Product; or (d) your infringement of any third-party right.

Force Majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, public health orders, government action, supply-chain interruptions, labour disputes, or failures of utilities or third-party services.

Electronic Communications & Records

By using the Services, you consent to receive communications from us electronically (by email, text, or notice posted on our website). You agree that electronic communications and records satisfy any legal requirement that such communications or records be in writing.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice (such as an email or a notice on our website). Changes take effect when posted unless a later effective date is specified. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

Entire Agreement & Assignment

These Terms, together with our Privacy Policy and Refund & Return Policy, constitute the entire agreement between you and Exclusives regarding the Services and supersede any prior agreements. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing to be effective.

Survival

Any provisions of these Terms that by their nature should survive termination or expiry will continue to apply, including without limitation provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any accrued rights or obligations of either party.

No Third-Party Beneficiaries

These Terms are for the benefit of you and Exclusives only. They are not intended to confer any rights or remedies on, or be enforceable by, any third party.

Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. You agree that the courts of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

Refund & Return Policy

All Sales Final on Cannabis Products

In accordance with the Alcohol and Gaming Commission of Ontario (AGCO) Registrar's Standards for Cannabis Retail Stores, all cannabis products are sold on a final-sale basis. Cannabis cannot be returned, exchanged, or refunded once it has left our store, except in limited circumstances described below.

Defective or Damaged Products

If you believe a cannabis product is defective, damaged, or mislabeled, please contact us within 14 days of purchase. Do not discard the product or its packaging. We will work with you and, where required, the licensed producer to investigate the issue. Resolutions may include:

• A replacement product, where permitted by AGCO regulations and the licensed producer
• A store credit
• A refund, where required by law or where the product cannot otherwise be remedied

Any product return for inspection must be initiated by Exclusives staff and conducted in compliance with applicable regulations.

Recalls

If a product you purchased is subject to a Health Canada or licensed producer recall, we will follow the recall procedure and provide a refund or replacement as directed by the recall notice.

Order Cancellations Before Pickup

You may cancel an online order before it has been picked up by contacting us by phone or email. If payment was processed in advance, refunds will be issued to the original method of payment within 5 to 10 business days.

Failure to Pick Up

Orders not picked up within 48 hours of the "ready for pickup" notification may be cancelled. If payment was made in advance, a refund will be issued to the original method of payment. Repeated failure to collect orders may result in restrictions on future online ordering.

Cannabis Accessories

Unopened, unused cannabis accessories (e.g., grinders, papers, lighters, storage containers) in original packaging may be returned for exchange or store credit within 14 days of purchase, accompanied by the original receipt. Opened, used, or damaged accessories cannot be returned for health and safety reasons.

Proof of Purchase

All return and refund requests must be supported by the original receipt or order confirmation.
